1) Definitions

• "Velamum" refers to our application, website, and related services.
• "User" refers to any individual or entity accessing or using Velamum.
• "Content" refers to product information, listing data, images, variations, pricing information, shop settings, shipping information, processing settings, and other materials submitted or managed by the User through the Services.
• "Third-Party Services" refers to external platforms and services that may be connected to Velamum, including Etsy.

2) Use of Services

You agree to:

• Use the Services only for lawful purposes and in compliance with all applicable laws and regulations.
• Comply with the rules and policies of any Third-Party Services connected to your account, including Etsy where applicable.
• Provide accurate and up-to-date information when creating an account or using the Services.
• Use Velamum only with Etsy shops and accounts that you are authorized to access or manage.
• Ensure that all listing content, product information, images, pricing, variations, and other materials you submit comply with applicable laws and Etsy policies.

Users remain responsible for the products they sell, the content of their listings, their shop settings, and all decisions made in connection with their Etsy shop.

3) Account Responsibilities

As a User, you are responsible for:

• Maintaining the confidentiality and security of your account credentials.
• Protecting access to any connected Etsy account.
• All activities performed through your Velamum account.
• Promptly notifying us if you become aware of unauthorized access, suspected compromise, or a security incident relating to your account.

You may not share your account in a way that allows unauthorized persons to access features or data associated with your account.

4) Velamum Services

Velamum provides seller productivity and listing management tools that may include:

• Preparing and managing Etsy listing information.
• Creating and reusing product variation configurations.
• Saving commonly used pricing structures.
• Organizing shop sections and listing-related settings.
• Reviewing processing and shipping configurations.
• Accessing authorized Etsy shop information.
• Reviewing selected publicly available marketplace information.
• Providing marketplace research tools based on user-initiated requests.

Available features may change, be added, or be removed as the Services develop.

5) Intellectual Property

The Velamum website, application, interface, branding, design, software, text, graphics, and other materials created by Velamum are owned by or licensed to Velamum and are protected by applicable intellectual property laws.

Unless we provide written permission, you may not:

• Copy or reproduce substantial parts of the Services.
• Modify, distribute, sell, sublicense, or lease the Services.
• Use Velamum branding in a way that suggests authorization, partnership, or endorsement.
• Remove proprietary notices from the Services.

These restrictions do not affect ownership of Content supplied by Users.

6) User Content

Users retain ownership of the Content they submit to or manage through Velamum.

By using the Services, you grant Velamum a limited, non-exclusive, royalty-free license to host, process, transmit, display, and use your Content only as reasonably necessary to provide the Services.

This may include processing Content for purposes such as:

• Preparing and managing listing information.
• Creating listing variations.
• Applying saved pricing configurations.
• Organizing shop settings.
• Processing images and product information.
• Communicating authorized requests to connected Third-Party Services.
• Displaying information within your Velamum account.

Velamum does not acquire ownership of your Content.

You are solely responsible for ensuring that you have the rights and permissions necessary to use any Content you submit, including images, trademarks, designs, text, product information, and other intellectual property.

7) Marketplace Research and Public Information

Velamum may provide tools that allow Users to review selected publicly available Etsy marketplace information.

Marketplace research features are intended to support legitimate seller research and business analysis.

Where Etsy marketplace information is provided through Velamum:

• Requests are initiated by the User.
• Data is obtained through supported Etsy API functionality where applicable.
• Velamum does not use screen scraping to collect Etsy marketplace data.
• Marketplace information may change at any time and may not always reflect subsequent changes made on Etsy.
• Velamum does not guarantee the accuracy, completeness, availability, or continued availability of third-party marketplace information.

Users may not use Velamum marketplace research functionality for unlawful purposes, unauthorized surveillance, harassment, abuse, or attempts to circumvent restrictions imposed by Etsy or other Third-Party Services.

8) Prohibited Activities

You agree not to:

• Use the Services for unlawful, fraudulent, abusive, or deceptive activities.
• Upload or distribute harmful, illegal, infringing, or malicious content.
• Attempt to gain unauthorized access to another User's account, shop, data, or credentials.
• Circumvent authentication, authorization, access controls, usage limits, or security mechanisms.
• Interfere with or disrupt the security, availability, or operation of Velamum.
• Introduce malware, malicious scripts, automated attacks, or harmful code.
• Reverse engineer, decompile, disassemble, or attempt to extract source code from Velamum except where such restriction is prohibited by law.
• Use Velamum to access information you are not authorized to access.
• Use automated methods in a manner designed to circumvent Etsy API limitations or other applicable platform restrictions.
• Misrepresent your identity or authorization to manage an Etsy shop.

9) Etsy Account Connection and Authorization

Certain Velamum features require the User to connect an Etsy account.

When connecting an Etsy account:

• The User must authorize Velamum through the applicable Etsy authorization process.
• Velamum may access only the information and permissions made available through the authorization granted by the User and supported by the Etsy API.
• Actions involving a connected Etsy account are performed based on User requests and the permissions granted to Velamum.
• Users remain responsible for reviewing their product, listing, shop, pricing, shipping, and other information before requesting actions involving Etsy.

The User may disconnect their Etsy account or withdraw authorization in accordance with available Etsy and Velamum functionality.

10) Third-Party Services

Velamum may integrate with Third-Party Services, including Etsy, in order to provide certain features.

Third-Party Services are operated independently from Velamum.

We are not responsible for:

• The availability or performance of Third-Party Services.
• Changes made by Third-Party Services to their APIs, policies, systems, or functionality.
• Actions taken by a Third-Party Service in relation to a User's account.
• Suspensions, limitations, removals, or enforcement actions imposed by a Third-Party Service.
• Errors, interruptions, or delays originating from a Third-Party Service.

Users are responsible for complying with the terms and policies of any Third-Party Service they use in connection with Velamum.

11) Availability of Services

We aim to keep Velamum available and reliable, but we do not guarantee uninterrupted or error-free operation.

The Services may occasionally be unavailable because of:

• Maintenance.
• Technical failures.
• Security updates.
• Third-party service interruptions.
• API availability or rate limitations.
• Changes required by Etsy or another Third-Party Service.
• Events outside our reasonable control.

We may modify, suspend, restrict, or discontinue parts of the Services when reasonably necessary.

12) Termination and Suspension

We may suspend or terminate access to Velamum if:

• You materially violate these Terms.
• Your account is involved in fraudulent, abusive, or illegal activity.
• You attempt to compromise the security or operation of the Services.
• You use the Services in a manner that violates applicable Third-Party Service requirements.
• Suspension or termination is necessary to comply with applicable law.
• Action is reasonably necessary to protect Velamum, its Users, or connected services.

Users may stop using Velamum at any time.

13) Disclaimer of Warranties

Velamum is provided on an "as is" and "as available" basis to the extent permitted by applicable law.

We do not guarantee that:

• The Services will always be available without interruption.
• Information obtained from Third-Party Services will always be complete or current.
• Etsy or another Third-Party Service will accept or successfully process every request.
• The use of Velamum will result in increased sales, visibility, search ranking, revenue, or other commercial results.

Users remain responsible for their own business decisions and Etsy shop activities.

14) Limitation of Liability

To the maximum extent permitted by applicable law, Velamum will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Services.

This includes, where legally permitted, loss of profits, sales, revenue, data, business opportunities, goodwill, or access to Third-Party Services.

To the maximum extent permitted by applicable law, Velamum's total aggregate liability arising from or relating to the Services will not exceed the amount paid by the User to Velamum during the 12 months preceding the event giving rise to the claim, or, where no amount has been paid, the minimum amount permitted under applicable law.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

15) Changes to These Terms

We may update these Terms from time to time to reflect changes to:

• Velamum features.
• Applicable laws or regulations.
• Security requirements.
• Third-party integrations.
• Etsy API requirements or policies.
• Our business operations.

The updated version will be posted on our website with a revised "Last updated" date.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms where permitted by law.

16) Governing Law

These Terms are governed by the laws applicable in the jurisdiction in which Velamum operates, subject to any mandatory consumer protection rights or other legal protections that may apply to the User.
